1. Acceptance of Terms

By accessing and using CertiFlow ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Service

CertiFlow provides cloud-based employee certification tracking and management services for businesses, specifically designed for franchise operations and multi-location organizations. The Service includes document upload and storage, automated expiration tracking, HR system integration, and compliance reporting.

3. User Accounts and Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your use of the Service complies with all applicable laws and regulations
  • Providing accurate and complete information when setting up your account
  • Promptly updating any changes to your information

4. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit any content that is unlawful, harmful, threatening, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers
  • Violate any applicable laws or regulations

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CertiFlow and its licensors. The Service is protected by copyright, trademark, and other laws. You retain ownership of any content you upload to the Service, but you grant CertiFlow a license to use, store, and process such content to provide the Service.

6. Payment and Billing

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your subscription
  • Fees are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew unless cancelled at least 30 days before the renewal date
  • Refunds are provided at CertiFlow's sole discretion

7. Limitation of Liability

In no event shall CertiFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.

8. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. CertiFlow does not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy or reliability of any results obtained through the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless CertiFlow and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
